Proxy voting: A voter who is prevented from casting a vote in person designates another authorized voter to do so on his behalf.
The following is what the Florida Statutes (or laws) have to say about the proxy system:
PROXY VOTING.--The members have the right, unless otherwise provided in this subsection or in the governing documents, to vote in person or by proxy. To be valid, a proxy must be dated, must state the date and place of the meeting for which it was given, and must be signed by the authorized person who executed the proxy. A proxy is effective only for the specific meeting for which it was originally given, as the meeting may lawfully be adjourned and reconvened from time to time, and automatically expires 90 days after the date of the meeting for which it was originally given. A proxy is revocable at any time at the pleasure of the person who executes it. If the proxy form expressly so provides, any proxy holder may appoint, in writing, a substitute to act in his or her place.
Corporation Boards make common use of the proxy system when dealing with their shareholders. They almost always use this system to their personal advantage to maintain their power. There is no obligation to offer alternative candidates or explain alternatives to their shareholders; therefore, it is common practice to just list Board member names when soliciting proxies. It is a way to discourage folks from picking someone other than the sitting members to vote on the shareholder or landowner proxy and allows the Board to pick each other or whoever they prefer to have join them on the Board.
This method has been used by famous companies like Enron (remember THAT scandal?) and then, there is AIG, Merrill-Lynch, Citigroup and, let us not forget the car companies. The Flagler Estates Road and Water Control District takes advantage of the proxy voting system in the exact same manner in order to keep power.
District Attorney, Rusty Castleberry, has been heard to say, on several occasions, that a proxy can be written on a cocktail napkin and still be legal.
We urge you to come and cast your vote in person. If you cannot attend, we ask that you do not designate a sitting Board member to vote your proxy.
